STANDARD TERMS AND CONDITIONS OF SALE
General Terms and Conditions of Sale – Chardek BV
These General Terms and Conditions of Sale (hereinafter "GTC") govern all sales of products made by Chardek BV, a company under Belgian law, whose registered office is located at Rue Jean Burgers 17, 7850 Marcq (Belgium), hereinafter referred to as "the Seller."
Any order implies the Client's unconditional acceptance of these terms, unless otherwise stated in a written agreement approved by the Seller.
1. Products, Orders, and Prices
1.1 Products
The products marketed by Chardek BV are described and presented as accurately as possible. However, technical or visual characteristics may be modified at any time for production or improvement reasons without notice.
1.2 Orders
Any order is firm and final upon receipt of payment or written confirmation from the Seller. Chardek BV reserves the right to refuse or cancel any order from a Client with whom there is a dispute regarding a previous payment.
1.3 Prices
Prices are expressed in euros (€), VAT included for individuals and excluding VAT for professionals. Prices may be changed at any time without notice. The applicable price is the one in effect at the time of the order.
2. Delivery
Delivery times are given as an indication. Chardek BV cannot be held responsible for delays due to force majeure, actions attributable to the Client, or a third party.
The products are delivered to the address provided by the Customer at the time of the order. The risks of loss or damage are transferred to the Customer upon receipt of the goods.
3. Payment
Payment is made in full at the time of the order for individuals, and within 30 days from the invoice date for professionals, unless otherwise agreed.
Payments are made via a secure system compliant with PCI-DSS standards (for example: Stripe, Odoo Payments, or equivalent).
Any late payment will result in the application of legal interest as well as a flat fee of 10% of the amount due, with a minimum of €50.
4. Right of Withdrawal
In accordance with Book VI of the Belgian Economic Law Code, the consumer has a period of 14 days to exercise their right of withdrawal from the receipt of the product.
Return shipping costs are the responsibility of the Customer, unless the error is attributable to Chardek BV. Products must be returned in their original condition, unused, and in complete undamaged packaging.
5. Warranty and After-Sales Service
5.1 Legal Warranty
Products benefit from a legal conformity warranty of two (2) years for consumers and a warranty for hidden defects (Article 1641 and following of the Civil Code) for professionals.
Chardek BV commits to repair or replace defective products recognized under warranty.
5.2 Exclusions
The equipment must be kept out of the reach of children.
The warranty does not cover damages resulting from improper use, non-compliance with the user manual, modification of the product, or an accident.
5.3 After-sales service
An after-sales service is offered for out-of-warranty repairs, subject to technical feasibility. Shipping costs are the responsibility of the Customer.
6. Retention of title
The products remain the property of Chardek BV until full payment of the price. However, the risks associated with the products are transferred to the Customer upon their delivery. The Customer agrees to insure the products against any risk of loss, theft, or destruction until full payment.
7. Intellectual property
All elements, documents, brands, models, logos, and content related to Chardek BV products remain the exclusive property of the Seller. Any reproduction, distribution, or use without prior written permission is strictly prohibited.
8. Personal data protection
Chardek BV processes its customers' personal data in accordance with the General Data Protection Regulation (GDPR – EU 2016/679).
The data collected is limited to what is necessary for processing orders, deliveries, and communications.
They are never sold to third parties and are retained for the duration necessary for the business relationship.
Customers have the right to access, rectify, oppose, and delete their data, to be exercised with the data controller:

9. Force majeure
Neither party can be held liable in the event of force majeure, including but not limited to: fire, strike, war, pandemic, power failure, natural disaster, or any unforeseen event independent of the will of the parties.
10. Applicable law and competent jurisdiction
These General Terms and Conditions are subject to Belgian law.
Any dispute regarding their interpretation or execution falls under the exclusive jurisdiction of the courts of the judicial district where Chardek BV's registered office is located, unless a mandatory provision applicable to consumers states otherwise.
11. Acceptance
The Client acknowledges having read these General Terms and Conditions of Sale and accepts them in full before placing any order.
